1. Acceptance of Terms

Welcome to Sogo, a digital platform and product entirely owned, developed, and operated by FraNKAPPWeb Technologies Ltd. In these Terms of Service, FraNKAPPWeb Technologies Ltd and the Sogo platform are collectively referred to as "Sogo", "we", "us", or "our". By accessing or using our services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing this platform.

2. Description of Services

Sogo provides a digital platform for:

  • Trading gift cards from various brands
  • Selling cryptocurrencies
  • RMB Purchases and E-commerce Procurement
  • Paying bills including airtime, data, electricity, and utilities
  • Managing digital wallets for bill payments
  • Partner API and Developer Platform for B2B integrations
  • Agent, Rewards, and Ambassador Programmes for eligible users

3. User Accounts

Registration: To use our services, you must create an account with accurate and complete information.

KYC Requirements (Individuals): Depending on transaction types and limits, you may be required to complete Know Your Customer (KYC) verification:

  • Tier 1: Email verification for basic access
  • Tier 2: Identity verification (BVN or NIN + Selfie) for increased limits
  • Tier 3: Document & address verification (Identity Document + Proof of Address + Selfie Video) for higher crypto sell limits

KYB Requirements (Businesses): For corporate entities to access live Partner API keys and business-tier limits, you must complete Know Your Business (KYB) verification. This requires submission of Corporate Affairs Commission (CAC) documents, an AML/CFT policy, and details of Directors and Ultimate Beneficial Owners (UBOs).

Account Security & Authentication: You are responsible for maintaining the confidentiality of your account credentials, Two-Factor Authentication (2FA) codes, and Transaction PINs. Any transaction authorized using your PIN or 2FA codes is deemed to have been authorized by you. You must notify us immediately if you suspect your account, PIN, or 2FA recovery codes have been compromised.

4. Prohibited Activities

You agree not to:

  • Use the platform for any illegal activities or money laundering
  • Submit fraudulent or stolen gift cards
  • Attempt to manipulate exchange rates or transaction systems
  • Create multiple accounts to circumvent limits or restrictions
  • Engage in any activity that interferes with the platform's operation
  • Use automated systems or bots without authorisation

5. Transaction Fees and Rates

Sogo charges fees for certain transactions. All fees and exchange rates are displayed before you confirm a transaction. We reserve the right to modify fees with reasonable notice.

6. Gift Card Sells and Trading

Ownership and Legitimacy: By submitting a gift card for sale or trade on Sogo, you represent and warrant that you are the absolute and rightful owner of the gift card, that it was acquired through legal means, and that the card has not been duplicated, altered, or previously redeemed. Submitting stolen cards, cards obtained via digital scams/phishing, or cards associated with credit card fraud is strictly prohibited and will result in immediate account termination and reporting to law enforcement.

Verification and Payouts: All submitted gift cards undergo a mandatory verification and redemption process. Payout times vary by brand, region, and network availability. While Sogo strives for fast processing, we make no guarantee of instant validation.

Invalid or Fraudulent Cards & Wallet Offsets: If a gift card is found to be invalid, deactivated, already redeemed, or has a balance lower than declared, the transaction will be cancelled. In the event that a card is initially validated but later chargebacked, locked, or flagged as fraudulent by the merchant issuer (such as Apple, Amazon, or Google), Sogo reserves the absolute right to reverse and debit the equivalent local currency value directly from your Sogo wallet balance, withhold any pending rewards, cashback, or referral earnings, or seek full restitution for any withdrawn funds through civil or legal channels.

Finality: Once a gift card has been successfully uploaded, verified, and redeemed, the transaction is final, legally binding, and completely non-reversible. You cannot request the return of the card or the digital code under any circumstances.

7. Cryptocurrency Liquidations

Liquidation Intermediary Only: Sogo provides a cryptocurrency liquidation gateway enabling you to sell supported digital assets for local currency (Naira). Sogo does not act as a cryptocurrency exchange, custodian, broker, or speculative trading platform. We do not hold digital assets on custody for users.

Rate Locking and Network Confirmations: Due to extreme market volatility, the exchange rate and final payout amount are locked and calculated only when the transaction receives the required number of blockchain network confirmations on Sogo's wallet, not at the time the transfer is initiated in your wallet. Sogo is not responsible for price fluctuations during network transmission.

Irreversibility and Address Accuracy: Blockchain transactions are completely irreversible. You bear sole responsibility for ensuring you send supported digital assets to the exact wallet address and via the correct blockchain network (e.g., ERC-20, TRC-20) provided on the platform. Sogo is not liable for assets lost due to incorrect network selection, address entry errors, or insufficient on-chain gas/transaction fees.

AML Blockchain Screening: Sogo employs automated third-party blockchain analysis tools to screen all incoming digital asset transfers. We reserve the absolute right to freeze any transaction, lock your Sogo wallet, and report details to regulators if funds are flagged as originating from mixers, darknet marketplaces, ransomware addresses, or other illicit sources.

8. RMB Purchases and Procurement

E-Commerce Procurement Intermediary: Sogo operates an e-commerce procurement and product sourcing exchange intermediary service. We do not act as a deposit-taking bank, payment service provider (PSP), international money remittance gateway, or international money transfer operator (IMTO). The RMB purchase service is provided strictly under an e-commerce sourcing and procurement agency model. Sogo acts solely as a procurement intermediary on your behalf, receiving your instructions and local currency funding (Naira or Cedis) to facilitate the procurement of goods, payment of trade-related commercial invoices, or the funding of your own personal or business Alipay or WeChat Pay wallets for personal e-commerce procurement, travel, or legitimate sourcing purposes.

Permitted Use and Prohibitions: All RMB purchase and wallet funding orders must represent genuine e-commerce sourcing, B2B supplier invoices, product sourcing, educational tuition payments, or the funding of your own verified personal Alipay or WeChat Pay accounts for legitimate travel and procurement use. You are strictly prohibited from using this service for speculative currency trading, capital flight, or unlicensed general money transfer and cash remittance.

Accuracy and Liability: You represent and warrant that all recipient and wallet details supplied (including your own or third-party Alipay IDs, WeChat Pay IDs, and Chinese bank account details) are accurate, valid, and correspond to the merchant, supplier, or account whom you intend to fund. Sogo is not responsible for errors in information provided by you, nor are we a party to or liable for any business disputes, product quality issues, non-delivery of goods, or other commercial disagreements between you and any third-party suppliers or services paid using funded accounts.

9. Bill Payments and Utility Purchases

Aggregation Intermediary: Sogo acts as an aggregator connecting you to third-party utility companies, telecommunications networks, and service providers ("Biller Networks") for the purchase of airtime, mobile data, electricity tokens, cable TV subscriptions, and other utility settlements. Sogo does not generate utility tokens, allocate network bandwidth, or control utility grids directly.

Input Errors and Non-Reversibility: You are solely responsible for verifying the accuracy of all purchase identifiers entered (including phone numbers, smartcard/decoder numbers, and electricity meter numbers). Once a Biller Network processes a transaction and issues a token, credits airtime, or activates a service, the transaction is final, non-refundable, and legally non-reversible. Sogo cannot refund transactions executed on incorrect numbers.

Downtime and Provider Delays: Sogo is not liable for disconnections, late fees, or service disruptions caused by outages, maintenance, or delayed token generation on Biller Networks. In the event of a failed connection where funds are debited but no service is delivered, Sogo will investigate and, upon confirmation of provider rejection, credit the refund back to your Sogo wallet within a reasonable processing window.

10. Agent Programme

Sogo offers an optional Agent Programme that allows eligible users to upgrade their account to a paid agent tier (Silver, Gold, or Platinum). Each tier unlocks enhanced bill payment cashback rates, higher referral bonuses, and other rewards not available on a standard account.

Agent Tiers and Cashback Rates: Every agent tier carries a one-time upgrade fee and a distinct set of cashback rules that vary by bill category and provider. Before initiating an upgrade, you are required to review the complete Rates page in full. The upgrade confirmation screen displays a direct link to these rates and requires your explicit acceptance before any payment is processed.

Referral Bonuses: Agent tiers carry higher referral bonuses than the standard referral programme. When someone you referred makes a qualifying transaction, you earn the referral bonus applicable to your agent tier at the time the reward is triggered. Referral bonuses are subject to vesting periods and the qualifying conditions described in the published Cashback Rates. Upgrading your tier does not retroactively increase bonuses already earned or pending.

Upgrade Fee - Non-Refundable and Non-Reversible: The fee paid to upgrade to an agent tier is a one-time, non-refundable, and strictly non-reversible payment. This means that once your upgrade has been confirmed and processed, the payment cannot be reversed, cancelled, refunded, or returned to your wallet for any reason, including but not limited to: a change of mind, dissatisfaction with tier benefits, infrequent use of the platform, or a decision to downgrade. If you are upgrading from an existing paid tier, you pay only the incremental difference between your current tier fee and the target tier fee. That difference is equally non-refundable. Before you confirm any upgrade, please ensure you have thoroughly reviewed the applicable tier benefits and Cashback Rates.

Your Acknowledgement: By ticking the acceptance checkbox and confirming payment on the upgrade screen, you confirm that you have read and understood the applicable cashback rules, tier benefits, referral bonus structure, and all provider-specific rates, and that you accept these Terms of Service in full. This acknowledgement is recorded at the time of your upgrade and constitutes your binding agreement to the non-refundable nature of the payment.

No Guarantee of Earnings: Cashback rates, referral bonuses, and other agent rewards are operational incentives and not guaranteed income. These rates may be updated by Sogo at its discretion with reasonable prior notice. An agent tier upgrade does not guarantee any minimum level of cashback earnings, referral income, or return on the upgrade fee paid.

Eligibility and Suspension: To upgrade to an agent tier, your account must satisfy the minimum KYC verification level required for that tier. Sogo reserves the right to suspend agent status, withhold pending rewards, or revoke agent tier benefits if your account is found to be in violation of these Terms of Service, applicable laws, or Sogo's acceptable use policies.

11. Rewards Programme

Sogo operates a Rewards Programme that includes a Referral Programme and Bill Payment Cashback, available to eligible users. Participation is voluntary and subject to the conditions below.

Referral Programme: You may invite others to register on Sogo using your unique referral link or code. When a person you referred (your referee) makes a qualifying transaction that meets the minimum amount threshold, both you and your referee may become eligible for a referral bonus. The bonus amounts, qualifying transaction types, minimum qualifying amounts, and any daily limits on the number of referral rewards a single referrer can earn are set by Sogo and may be updated at any time with reasonable notice. Referral bonuses are credited to your wallet only after any applicable vesting period has elapsed. Sogo reserves the right to withhold or reverse a referral bonus if the underlying qualifying transaction is subsequently reversed, found to be fraudulent, or in violation of these Terms.

Bill Payment Cashback: Eligible users who pay bills through Sogo may earn cashback on qualifying transactions. Cashback is calculated based on the bill category and, where applicable, the service provider selected. Cashback earnings are subject to a per-transaction cap and a monthly cap per user. Cashback is not credited instantly; it is held for a vesting period before being released to your wallet. The applicable rates and caps are published on the Rates page and may be updated by Sogo at its discretion. The vesting period applicable to your account is shown in your profile.

Promotional Campaign Bonuses: Sogo may, from time to time, run promotional campaigns that offer enhanced referral rates, additional cashback, or standalone bonus rewards to eligible users. Campaigns are time-limited and may have a total budget cap, a start and end date, a per-user limit, and eligibility restrictions based on your country of residence or your KYC verification tier. Meeting the general eligibility criteria for a campaign does not guarantee receipt of a reward if the campaign's total budget has been exhausted, if the campaign has ended by the time your qualifying event is processed, or if your account does not meet the specific targeting conditions of that campaign. Sogo reserves the right to pause, modify, or terminate any promotional campaign at any time without prior notice. All campaign rewards are subject to the same vesting, holding, and clawback conditions that apply to standard rewards under this programme.

General Conditions: All rewards are discretionary incentives and not guaranteed income. Sogo may modify, suspend, or discontinue any part of the Rewards Programme at any time with reasonable prior notice. Rewards cannot be exchanged for cash outside of the normal wallet withdrawal process. Any attempt to abuse, manipulate, or game the Rewards Programme (including creating multiple accounts, generating fraudulent transactions, or coordinating artificial referrals) will result in forfeiture of all pending and future rewards, and may lead to account suspension.

12. Ambassador Programme

Sogo offers a discretionary Ambassador Programme (the "Programme") enabling eligible users to promote our digital platform and earn rewards. Participation is voluntary and governed strictly by these terms.

Eligibility and Applications: The Programme is currently available exclusively to users residing in Nigeria who have successfully completed identity verification to at least KYC Tier 2 (BVN or NIN + Selfie) and whose accounts remain in good standing. Sogo reserves the absolute right to approve or reject any application at its sole discretion. Each user is permitted a maximum of three (3) Programme applications. If an application is rejected, you must wait for the specified cooldown period to elapse before re-applying. If your Ambassador status is permanently revoked, you are ineligible to re-apply.

Ambassador Tiers and Custom Referral Codes: Approved ambassadors are assigned to specific tiers (including Silver, Gold, or Platinum), which govern commission structures, bonus rates, and other operational incentives. Sogo may allow you to request a preferred custom referral code during the application process; however, custom codes are subject to availability, and Sogo reserves the right to override, modify, or reject any custom referral code at its sole discretion without liability.

Commissions and Referee Welcome Bonuses: Active ambassadors may earn NGN-denominated commissions on qualifying transactions (specifically verified gift card sells or cryptocurrency liquidations) successfully completed by new users whom they directly referred. Referred users may also receive a one-time welcome bonus upon completing their first qualifying transaction that meets the minimum qualifying amount threshold. All commissions, tier benefits, and welcome bonuses are discretionary marketing incentives, do not constitute guaranteed income, and may be modified, capped, or terminated by Sogo at any time with reasonable notice.

Vesting and Holding Periods: Commissions and welcome bonuses are not credited to your withdrawable wallet instantly. All Programme earnings are subject to a mandatory vesting period (typically seven (7) days or as displayed in your profile) during which they remain pending. Pending earnings cannot be withdrawn, transferred, or used until they have successfully vested and are officially released to your wallet.

Automated Fraud Screening and Holds: Sogo utilizes proprietary automated fraud detection and risk assessment systems to monitor and review all ambassador-referee interactions and associated activities. Sogo actively screens for identity overlap, self-referrals, structural manipulation, and other coordinated or abusive patterns. If any suspicious activity, policy violation, or potential fraud is flagged:

  • Sogo reserves the absolute right to place pending earnings on a hold ("Held for Review") or a block ("Fraud Flagged") pending administrative review.
  • Held or flagged earnings will not vest and cannot be withdrawn.
  • Following an administrative review, Sogo may, in its sole discretion, release held earnings if verified as legitimate, or permanently cancel them.

Suspension, Revocation, and Wallet Clawbacks: Sogo reserves the right to suspend or permanently revoke your Ambassador status at any time if you violate these Terms of Service, engage in fraudulent referral practices, or manipulate the platform. Upon suspension or permanent revocation, all of your pending, held, or unvested earnings are immediately and permanently cancelled. Furthermore, if a referee's qualifying transaction is subsequently reversed, refunded, chargebacked, or flagged as fraudulent, Sogo reserves the absolute right to cancel the corresponding commission or debit/clawback the equivalent NGN value directly from your Sogo wallet balance (regardless of whether the earning has already vested or been withdrawn).

13. Virtual Bank Accounts

Sogo may provide you with temporary or permanent virtual bank accounts (e.g., via our partner banks) strictly for the purpose of funding your Sogo wallet. You agree to use these virtual accounts exclusively for personal or business wallet top-ups. You are strictly prohibited from using these accounts to receive fraudulent funds, accept payments for illegal activities, or operate as an informal money transfer service. Sogo reserves the right to suspend or close your virtual account immediately if we detect suspicious activity or a violation of our partner banks' terms.

14. Partner API & Developer Platform

Corporate entities and developers may access our Partner API platform. By using the API, you agree to comply with our API rate limits, integration guidelines, and security policies. You are solely responsible for securing your webhook endpoints and API keys. Sogo provides a Sandbox environment for testing; misuse of the Sandbox or attempting to exploit API vulnerabilities may result in immediate revocation of API access. A separate Service Level Agreement (SLA) applies to verified live API partners.

15. Payment and Settlement

Processing Time: Most transactions are processed instantly, but some may take up to 24 hours depending on verification requirements.

Payment Methods: We accept bank transfers, and wallet funding as specified on the platform.

Refunds: Refunds are subject to our verification process and may take 3-7 business days to reflect in your account.

16. Suspension, Deactivation, and Termination

We reserve the right to suspend or terminate your account if:

  • You violate these Terms of Service
  • We suspect fraudulent activity on your account
  • You fail to complete required KYC/KYB verification
  • Your account shows suspicious transaction patterns
  • Required by law or regulatory authorities

Account Deactivation & Deletion: You may choose to temporarily deactivate or permanently delete your account at any time through the platform. Upon account deletion, any pending rewards or unsettled balances must be withdrawn prior to deletion, otherwise they may be forfeited. To comply with Nigerian Anti-Money Laundering (AML) and Combating the Financing of Terrorism (CFT) laws, Sogo is legally required to retain your KYC/KYB records, transaction history, and audit logs for a mandatory minimum period even after your account is deleted.

17. Limitation of Liability

Sogo shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of or inability to use the service. We do not guarantee uninterrupted or error-free service.

18. Indemnification

To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Sogo, its corporate owner FraNKAPPWeb Technologies Ltd, and their respective directors, officers, employees, agents, and B2B partners ("Indemnified Parties") from and against any and all claims, liabilities, damages, losses, demands, actions, or expenses (including without limitation reasonable legal, accounting, and professional fees) arising out of or in any way connected with: (a) your access to or use of the platform; (b) your violation of these Terms of Service or any applicable laws or regulations; (c) any fraud, misrepresentation, or willful misconduct by you; (d) any third-party transaction or trade disputes (including disputes with Chinese supply partners or vendors paid via the RMB purchase and procurement service); or (e) your submission of any invalid, deactivated, chargebacked, or fraudulent gift cards, or illicit digital asset transfers. Sogo reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you agree to fully cooperate with Sogo in asserting any available defenses.

19. Dispute Resolution & Arbitration

Informal Negotiation: In the event of any dispute, claim, or controversy arising out of or relating to these Terms of Service, your account, or your use of the platform ("Dispute"), you and Sogo agree to first attempt to resolve the Dispute informally. You must send a written notice of Dispute to Sogo's support email. We will attempt to reach an amicable resolution through good-faith informal negotiations within thirty (30) business days from the date the notice is received.

Binding Arbitration: If the Dispute cannot be resolved informally within thirty (30) business days, it shall, at Sogo's sole and absolute election, be finally and exclusively settled either by binding individual arbitration in accordance with the Arbitration and Mediation Act of Nigeria, or through litigation in the courts of competent jurisdiction located in Awka, Anambra State, Nigeria (which shall serve as the exclusive forum and seat of any Dispute). If arbitration is pursued, the proceeding shall be conducted in the English language by a single arbitrator appointed by mutual agreement of the parties, or failing such agreement within fourteen (14) days, by the Chairman of the Chartered Institute of Arbitrators (UK) Nigeria Branch. Sogo reserves the absolute right to seek injunctive or other equitable relief in any court of competent jurisdiction. You explicitly agree that Sogo shall under no circumstances be liable for, or required to pay, any of your legal fees, attorney's fees, filing fees, administrative costs, or arbitrator expenses. Furthermore, you agree to unconditionally pay, reimburse, and hold Sogo harmless from any and all legal costs, attorney's fees, court filing fees, and arbitrator expenses incurred by Sogo in connection with any Dispute or the enforcement of these Terms of Service, regardless of the forum, outcome, or prevailing party in the proceedings.

Class Action Waiver: YOU AND SOGO AGREE THAT ANY ARBITRATION OR COURT PROCEEDINGS SHALL BE CONDUCTED SOLELY ON AN INDIVIDUAL BASIS AND NOT AS A CLASS, REPRESENTATIVE, OR CONSOLIDATED ACTION. YOU EXPLICITLY WAIVE ANY RIGHT TO FILE OR PARTICIPATE IN A CLASS ACTION, CLASS-WIDE ARBITRATION, OR REPRESENTATIVE LAWSUIT AGAINST SOGO OR ITS CORPORATE OWNER.

20. No Financial or Investment Advice

Sogo operates strictly as a digital facilitation platform providing services that include, but are not limited to, e-commerce procurement (RMB purchases), gift card trade settlement, digital asset liquidation, utility bill aggregation, and such other current or future digital transactional, trade settlement, or aggregation services as Sogo may make available from time to time. Sogo does not provide, and nothing on our platform, in our communications, or within these Terms of Service constitutes, financial, investment, legal, tax, or speculative currency trading advice. All liquidations and currency exchange rates displayed are purely transactional rates set by Sogo based on operational costs, supplier liquidity, and market margins. Any decision to utilize our services, liquidate assets, trade gift cards, pay bills, or engage in trade procurement is made solely at your own risk and discretion, and you bear complete responsibility for conducting your own independent research and assessing your risk tolerance before initiating any transaction.

21. Third-Party Services & Force Majeure

Third-Party Dependencies: Sogo utilizes and relies upon various third-party services, including partner banks, commercial aggregators, utility distribution networks (Biller Networks), blockchain nodes, and digital wallet providers (e.g. Alipay and WeChat Pay). You acknowledge and agree that Sogo does not own, control, or operate these third-party systems. Sogo shall have absolutely no liability for any transaction failures, disconnections, account freezes, service disruptions, or losses resulting from outages, policy shifts, technical issues, or actions taken by these third-party service providers.

Force Majeure: Sogo shall not be responsible or liable for any failure or delay in the performance of its obligations under these Terms of Service due to causes beyond its reasonable control, including but not limited to: natural disasters, acts of God, strikes, lockouts, labor disputes, utility or telecommunication grid failures, internet blackouts, government actions, central bank policy directives, sudden regulatory bans on digital assets or foreign transactions, acts of war, terrorism, civil unrest, pandemics, epidemics, or default of commercial suppliers or banking partners.

22. Boilerplate (Severability, Waiver, and Entire Agreement)

Severability: If any provision of these Terms of Service is found by an arbitrator or court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions of these Terms of Service shall remain in full force and effect.

No Waiver: No failure or delay by Sogo in exercising any right, power, or privilege under these Terms of Service shall operate as a waiver thereof, nor shall any single or partial exercise of any right, power, or privilege preclude any other or further exercise thereof or the exercise of any other right, power, or privilege.

Entire Agreement: These Terms of Service, along with Sogo's Privacy Policy and any B2B Service Level Agreements (if applicable), constitute the entire agreement between you and Sogo regarding the use of the platform and supersede all prior or contemporaneous written or oral agreements, understandings, marketing materials, or communications.

23. Intellectual Property

All content, features, and functionality of the Sogo platform are owned by Sogo and are protected by copyright, trademark, and other intellectual property laws.

24. Changes to Terms

We may update these Terms of Service from time to time. We will notify you of any changes by posting the new Terms on this page and updating the "Last Updated" date.

25. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.
